Terms and Conditions of Service

1. Acceptance of Terms

Welcome to KnowFlex (the "Service" or "Site"), owned and operated by KnowFlex and its owners, officers, and employees (collectively, "KnowFlex," "we," "us," or "our"). By creating an account, accessing the Site, or utilizing our mentorship marketplace, you ("Customer," which refers to both Mentors, Students, Teachers, or Institutions individually and collectively, also referred to as "they", "their", or "them") agree to be bound by these Terms and Conditions of Service (the "Terms"). If you do not agree to these Terms, you must not use the Service.

2. Definitions

Customer: Any individual or entity that registers an account on the KnowFlex platform or uses the KnowFlex platform in any way.
Student: A Customer who seeks, purchases, or receives mentorship or advice through the Service.
Mentor: A Customer who applies to provide, and is approved to provide, expertise, sessions, or advice through the Service.
Teacher: A Customer who seeks, purchases, or receives mentorship or advice through the Service for their Institution's teaching classroom of which they are in charge.
Session: Any interaction, whether a one-time call, recurring subscription-based call, or a classroom call facilitated by the Service.

3. The Nature of the Marketplace

KnowFlex is purely a marketplace platform that enables Students to connect with Mentors. KnowFlex does not provide mentorship directly. Mentors are independent contractors and are not employees, agents, joint venturers, or legal representatives of KnowFlex for any purpose. Mentors shall not represent themselves as affiliated with KnowFlex in any capacity inside or outside of Sessions. We do not control, and are not responsible for, the quality, safety, or legality of the mentorship provided. Teachers are solely Customers and are not employees, agents, joint venturers, or legal representatives of KnowFlex for any purpose. Teachers shall not represent themselves as affiliated with KnowFlex in any capacity inside or outside of Sessions. We do not control, and are not responsible for, the quality, safety, or legality of the mentorship or classroom Sessions provided in any form. We do not control, and are not responsible for, the quality, safety, or legality of the Teacher's conduct during Sessions in any form.

4. Eligibility and Guardian Consent

You represent and warrant that you are at least 18 years of age. If you are under the age of 18, you represent that you have obtained the express permission of your parent or legal guardian to use the Service and that they have agreed to these Terms on your behalf. If you are a parent or legal guardian of a User under 18, you acknowledge that by allowing said minor to use the Service, you are subject to these Terms and are solely responsible for all activity conducted by that minor on the Service.

5. User Accounts and Accuracy of Information

When registering an account of any kind, you agree to provide accurate, current, and complete information and to maintain the accuracy of such information.

Mentor Evaluation: If you apply as a Mentor, you explicitly agree that we may use all provided materials and information or publicly available information to evaluate your application. Approval or rejection of Mentor applications is at our sole and absolute discretion. We will notify you of our decision via the email or phone number you provided.
Security: You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at hello@knowflex.io if you suspect any unauthorized access or breach of security.
Third-Party Conflicts: You represent that your use of the Service and performance of obligations under these Terms does not and will not conflict with or breach any third-party agreements (e.g., employment contracts or non-compete marks) by which you are bound.

6. Mentorship Content and Reliance Disclaimer

No Endorsement: KnowFlex is not responsible for and does not endorse the content, opinions, or advice shared during mentorship or classroom Sessions. KnowFlex is not required to, and may not track and record the content of all sessions, but it reserves to right to do so at all times.
Assumption of Risk: Following any advice provided by a Mentor is done solely at the Student's or Teacher's own risk and discretion. Neither KnowFlex nor the Mentors are liable for a Student's or Teacher's reliance on such information.
Information, Not Advice: All information provided through the Service should be treated as general-purpose information. It is not a substitute for in-person evaluation or specific professional, medical, legal, veterinary, or financial advice.
No Professional Relationship: No professional-client relationship (e.g., attorney-client or doctor-patient) is formed by using the Service or participating in Sessions.

7. No-Shows, Tardiness, or Reschedules

Mentors: Mentors can ask for reschedules or cancel a Session at any time for any or no reason. Mentors are not required to attend a Session, but are only paid if a Session is completed. In the unlikely event that a Mentor does not attend a Session without prior notice of conflict or request for rescheduling, the Student can reach out to us at hello@knowflex.io to discuss the issue. We may or may not issue a refund at our sole discretion after carefully reviewing the specific case.

Students: Students can request a reschedule or cancel a Session up to 24 hours before the Session time to receive either a refund or KnowFlex credits to apply to other Sessions. Students can only reschedule a Session twice – if more reschedulings are needed, one may or may not be permitted if the Student contacts us at hello@knowflex.io. No refunds will be issued for cancelations during the last 24 hours preceding a Session. No refunds will be issued for Student no-shows (in the event of extraordinary circumstances, the Student can contact us at hello@knowflex.io - we may or may not issue a refund at our sole discretion after carefully reviewing the specific case). If a Student is late to a Session for more than 5 minutes, the Mentor could end the Session and no refund will be issued to the Student.

Teachers: The exact same terms and conditions as the above paragraph for Students applies to Teachers.

8. Financial Terms and Fees

Currency: All fees are denominated in U.S. Dollars (USD).

Payments: KnowFlex provides multiple avenues for Students to engage with Mentors. By utilizing these payment features, you agree to the specific billing procedures associated with each model as outlined below:

Pay-Per-Session Model: Under this individual booking model, Students select a Mentor and agree to a specific fee for a one-time session. Payment is authorized and charged at the time of booking or at the commencement of the session, as specified on the payment page. To offset platform and payment processing costs, a non-refundable 5 dollar transaction fee is included in every transaction.
Recurring Subscription Model: Students may elect to enroll in a subscription-based plan for ongoing mentorship. By selecting this option, you authorize KnowFlex to automatically charge a recurring fee to your provided payment method at the beginning of each billing cycle (e.g., monthly).
Auto-Renewal: Subscriptions will automatically renew for successive periods unless you cancel your plan.
Cancellation: You may cancel your subscription at any time by providing written notice via an email to hello@knowflex.io or through your account settings. Cancellation will stop future charges, but you will retain access to your subscription benefits until the conclusion of the current billing period. No pro-rated refunds will be issued for partial terms.

Rating and Feedback System: Following the conclusion of a mentorship Session, Students or Teachers are encouraged to provide a rating and written feedback regarding the Mentor's performance.

Quality Assurance: KnowFlex utilizes these ratings to maintain the integrity and quality of the marketplace. If a Mentor receives one or consistently receives low ratings, KnowFlex reserves the right to review session transcripts and recordings to determine if the Mentor's access to the Platform should be restricted or terminated.
Submission of Feedback: You agree that all feedback provided will be honest, professional, and compliant with our conduct policies. KnowFlex reserves the right to remove feedback that is deemed offensive, fraudulent, or in violation of these Terms.

Refund Policy: All fees are non-refundable. At our sole and absolute discretion, KnowFlex may or may not issue a refund to a Student or Teacher in exceptional circumstances (e.g., a Mentor cancels a session) and if requested by the Student or Teacher.

Platform Fee: KnowFlex retains a percentage of every mentorship fee as a service charge. This percentage is non-refundable to the Mentor.

Exclusivity and Non-Circumvention: If a Mentor and Student/Teacher are introduced or connected through KnowFlex, all mentorship and payments must be conducted through the KnowFlex platform. This obligation remains in effect unless 12 months have passed since the last session and the Student/Teacher reaches out to the Mentor independently. Any attempt to solicit or provide payment off-platform may result in an immediate and permanent ban for both the Mentor and the Student/Teacher. If a Mentor and Student/Teacher decide to meet in person or engage in transactions outside the scope of mentorship facilitated by KnowFlex, they do so entirely at their own risk. Such interactions are not the business of KnowFlex, and we are in no way involved, responsible, or liable for the outcomes of such engagements.

9. Conduct and Prohibited Topics

KnowFlex maintains a zero-tolerance policy for inappropriate conduct. All users of our Service are solely responsible NOT to share any information that would I) infringe, violate, misappropriate, or otherwise breach any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property, contract, or right, II) defame, slander, or invade the right of privacy, publicity, or other property rights of any other person or entity, or III) cause us to violate any law or regulation or require us to obtain any further licenses from or pay any royalites, fees, compensation or other amounts or provide attribution to any third parties, and IV) be deemed objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate.

Forbidden Content: Discussion of the following topics or conduct that falls under these topics is strictly prohibited: racism, sexism, homophobia, sexual content, derogatory language, defamation, harassment, sensitive political topics, political campaigning, any ideological proselytizing, or any conduct an intelligent person would deem sensitive, biased, illegal, or harassing.
Sanctions: If evidence of such discussions or conduct is found, the responsible party (Mentor or Student or Teacher) will be subject to an immediate ban from the platform.

10. Off-Platform Sessions and Third-Party Services

Third-Party Software: Mentorship Sessions are held on third-party software not owned or controlled by KnowFlex. We assume no responsibility for the privacy policies or practices of these third parties. We encourage you, and acknowledge that you are solely responsible, to review and comply with any third-party terms and conditions and privacy policies.
Tracking and Storage: We reserve the right to use third-party tools to track, transcribe, record, and store the content of Sessions. You acknowledge that all stored content solely belongs to KnowFlex and may be evaluated by us at any time without notice.
No Right to Content: You acknowledge that you have no proprietary right to the recorded content of mentorship Sessions, regardless of your participation or presence in said Sessions.
Privacy Disclaimer: Materials and information shared during Sessions or on the website by any and everyone are not meant to be private or confidential, may be available on the internet, and may be indexed or reviewed as described herein.
Affiliations: KnowFlex is in no way affiliated with, sponsored, represented, or supported by any other third-party entity unless expressly noted otherwise by us.

11. AI Technologies and Transcriptions

Our Service integrates third-party features for video recording and transcription that may contain the use of artificial intelligence ("AI").

Consent to Record: By participating in the Service, you provide express, explicit consent to the video recording and transcription of all Sessions.
AI Analysis: You acknowledge and consent to our use of AI Technologies to analyze these transcriptions to provide summaries, insights, or for Site quality-assurance purposes.
Third-Party Compliance: We assume no responsibility for the privacy policies or practices of these third parties. We encourage you, and acknowledge that you are solely responsible, to review and comply with any third-party terms and conditions and privacy policies.

Internal AI Training & Development: By participating in mentorship Sessions and utilizing the Site (e.g. attending Sessions, interacting with chatbots, using teaching course syllabus or information to filter Mentors, filling out various forms, etc.), you acknowledge and agree to the following provisions regarding the use of any data, including but not limited to video recordings, audio, text-based transcriptions, AI summaries, course syllabi, etc. (collectively, "Site Data"), for the advancement or development of KnowFlex's proprietary technologies (referred to as "Internal AI Training"):

Model Training and Refinement: You expressly grant KnowFlex the right to use, reproduce, and analyze Site Data for the purpose of Internal AI Training, including but not limited to training, developing, and refining artificial intelligence ("AI") models, machine learning algorithms, natural language processing systems, and related data analytics technologies.
Session Summarization: As previously noted, KnowFlex utilizes AI Technologies to process transcriptions and generate automated session summaries. You acknowledge that this processing is a core feature of the Service and provide your ongoing consent for such analysis.
De-identification and Aggregation: To the extent feasible for technical development, KnowFlex may anonymize or aggregate Site Data. Once de-identified or combined with other data sets such that it no longer personally identifies a specific User, KnowFlex may use this data indefinitely for research and development and Internal AI Training.
Data Retention for Technical Development: Notwithstanding the termination of your account or the deletion of specific Customer content from public view, KnowFlex reserves the right to retain internal copies of Site Data for the continued training and optimization of our Internal AI Training.
Waiver of Compensation: You understand and agree that the use of Site Data for Internal AI Training does not entitle you to any royalties, licensing fees, or other forms of compensation, regardless of whether the resulting Internal AI Training products are commercialized or generate revenue for KnowFlex.
Intellectual Property Ownership: Any AI models, software, insights, or derivative works created through the analysis of Site Data are the sole and exclusive property of KnowFlex. You hereby waive any claim to ownership, intellectual property rights, or "moral rights" in any technology developed using such data.
Ethical Standards and Compliance: KnowFlex is committed to the ethical application of AI. We will not utilize Site Data to train technologies intended to promote discrimination, cause intentional harm, or violate the fundamental rights of any individual or protected group. All Internal AI Training or development will be conducted in accordance with applicable data protection laws.
AI Interaction Feedback: If you interact with any AI-driven features on the Service (such as chatbots or automated summary tools), you grant KnowFlex an irrevocable right to collect and use your feedback and interaction history to further improve the performance and accuracy of those systems.

12. Modification and Termination

Right to Modify: KnowFlex reserves the right to modify these Terms at any time. Changes are effective immediately upon posting to the Site. Your continued use of the Service signifies acceptance of the revised Terms.
Termination by User: You may terminate your account by providing written notice via email to hello@knowflex.io. Terminations are typically processed within 15 business days.
Termination by KnowFlex: We reserve the right to modify, discontinue, restrict, or terminate any account or portion of the Service at any time, with or without notice, for any or no reason.

13. Mentor Agreement

In addition to all applicable terms and conditions mentioned herein, Mentors must agree to the following terms before using our Service. If you do not agree to these and other relevant terms, you cannot use our Service.

a. If you are accepted as a Mentor, and while creating your profile, you consent that the information and materials that you provide can be used by us in creating a profile for you at any time without notice. You agree not to provide any inaccurate information, trade secrets, confidential information, any information that you do not want publicly shared (including on the Site or various social media platforms), known, or made available, or any information that would violate the terms of another agreement with a third party that you are bound by. We will consider any information that you provide on our Site to meet this criteria and we assume no responsibility of the consequences of unwanted information sharing by you.

b. As a Mentor, you can choose to create a "Story" or multiple Stories about a topic(s) of your choice (for example achieving a breakthrough, making a career advancement, founding a startup company, etc.). Any Story may be displayed on our Site or our social media platforms (for example Instagram, YouTube, TikTok, LinkedIn, etc.) for the purpose of enhancing your recognition by Students. A Story can be created by filling out a "Short Form" about it. This may include writing text descriptions, uploading relevant media, mentioning names of other individuals or entities, etc. You are solely responsible NOT to share any information, files, names, media, etc. that would violate the terms of this agreement, including those emphasized in item (a) above.

c. The information and content that you provide as part of filling out the Short Form will be used to create a promotional "Short Video" in which you and your Story are discussed with a praising tone. By creating a Story and filling out the Story Form, you agree to the creation of this Short Video by us in the way that we choose. You also consent to the use of the Short Video on the internet (including social media platforms) by us for the purpose of enhancing your recognition by Students. If you're dissatisfied with your Short Video, you can request it be adjusted. We reserve the right to reject adjustment requests at our sole discretion. If you are dissatisfied with your Short Video and an adjustment cannot be made, you can it request it be removed. Adjustment and deletion requests can be submitted to us through hello@knowflex.io and may take up to a week or more to be processed. Once a Short Video is made, and until a request for adjustment or removal is received, accepted, and processed by us, the video is the sole property of KnowFlex and we reserve the right to make the final decision on any and all of its use cases. KnowFlex also reserves the right to remove any Story or Short Video at any time for any or no reason from any site or platform.

14. Teacher Agreement

In addition to all applicable terms and conditions mentioned herein, Teachers must agree to the following terms before using our Service. If you do not agree to these and other relevant terms, you cannot use our Service.

a. Teachers (high school, college, university, etc.) can create separate accounts on our website to seek, purchase, or use the Service virtually in their classroom at their Institution. Teachers also have the ability to upload their course information or syllabus (including but not limited to course time and content) to be matched with specific Mentors. You agree not to share any sensitive or confidential course information and that any such course information provided to KnowFlex may become publicly available, or stored and used by KnowFlex as described herein.

b. KnowFlex is in no way represented by a Teacher, their course, or their Institution and no Teacher or a Teacher's Institution shall represent or claim to represent KnowFlex in any way.

c. KnowFlex is in no way affiliated with, supported, or sponsored by any Institution unless expressly noted by us.

d. KnowFlex may not always be aware of, is not responsible for, and does not endorse the content of Sessions in any way.

e. Following any advice provided by a Mentor is done solely at the Teacher's or Student's own risk and discretion. Neither KnowFlex nor the Mentors are liable for a Teacher's or a Student's reliance on such information.

f. No Teacher, under no circumstance may manipulate the Service in a biased and unfair way to favor a certain Mentor (for example for the direct or indirect purpose of personal collusion and gain with that Mentor). If any evidence of such activity is found, both the Mentor and Teacher involved could be banned permanently from our Service.

g. KnowFlex does not track and is in no way responsible for the Teacher's conduct on our Site and during our Sessions. Teachers are solely responsible for adhering to their Institution's or any other third-party's rules, regulations, agreements, or policies that they may be required to adhere to or bound by. Teachers are solely responsible to ensure they are not violating any said items. KnowFlex is not liable to and will, under no circumstance, enter or comment on a violation or dispute between a Teacher and a third-party, including an Institution. Teachers are solely responsible for not sharing any sensitive information, trade secrets, etc. belonging to their or other Institutions or any other third-party.

h. Teachers are solely responsible to ensure that having an external Mentor is in agreement with their Institutional policies. KnowFlex assumes no responsibility with respect to such a violation by the Teacher.

i. If a Teacher uses their Institutional funds to pay for a Session, the Teacher is solely responsible to ensure that such a transaction is in agreement with their Institutional policies and that the Teacher was authorized to do so. A Teacher shall never make a purchase in a manner that would violate any rules, or make us liable to issuing refunds or cause us to enter a transactional or other agreement with any other third-party. KnowFlex is in no way responsible for issuing a refund if such an un-authorized transaction is made, and the Teacher bears the full financial responsibility.

j. Under no circumstance will KnowFlex assume any responsibility, nor will it issue refunds for an un-authorized purchase made by you on behalf of another third-party. If such an incidence occurs, the issue is, and will be settled, solely between you and the said third-party.

k. A Teacher cannot represent their Institution, or attempt to do so, unless they are expressly designated in writing as a representative of your Institution.

l. Mentors have no obligations to attend a Session and can ask for reschedules or cancel a session for any or no reason.

15. Student Agreement

In addition to all applicable terms and conditions mentioned herein, Students must agree to the following terms before using our Service. If you do not agree to these and other relevant terms, you cannot use our Service.

a. Students acknowledge that the purchase of any Session does not entitle the Student to any additional services or benefits from the Mentor including but not limited to external referrals, recommendation letters, projects, employment opportunities, etc. The provision of such benefits is at the sole discretion of the Mentor. In the event that such a benefit is offered or extended by the Mentor, neither KnowFlex nor the Mentor assume any responsibility with respect to the outcome of such benefits provided by the Mentor, and the Student agrees to seek and use them at his/her own risk.

16. Scholarships

Mentors can choose not to be paid and instead direct the Session fee towards establishing a "KnowFlex Scholarship" on our Site. Should you choose this option, your Sessions will still be sold for a price of our choosing on our platform, and they are subject to all requirement and terms mentioned in this document. We reserve the right to change such a Session price at any time for any or no reason. From the moment that you, a Mentor, enable the diversion of your Session fees to Scholarship creation, you are no longer entitled to any money made via our Service. Should you decide to receive payments, you can request this by emailing hello@knowflex.io. Processing of such a request could take up to or more than 15 business days, and the request will only be formalized and initiated in the month following the date of its receipt. The KnowFlex Scholarships are Session credits that would be gifted to selected Students who apply to these Scholarships by submitting an application solely through our Site. The Scholarship can and may be named after a Mentor to honor their generosity. However, the establishment of the Scholarship has no financial or tax-related implications or benefits for the Mentor, and the Mentor has no entitlements with respect to the Scholarship, its distribution, or the underlying funds. The selection criteria for the Scholarships are set at our sole discretion during a process that is completely fair, unbiased, and randomized in our best judgement. We reserve the right to withdraw or end any or all Scholarships at any point in time for any or no reason without notice.

17. Communications

By using the Service, you agree to receive electronic communications from KnowFlex, including emails, text messages, or calls to the contact information provided during registration.

18. Limitation of Liability

To the maximum extent permitted by law, KnowFlex shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Service or the reliance upon any mentorship provided.
